Welcome to THOTL ("Platform", "we", "our", "us"). By accessing or using THOTL, you agree to these Terms of Service ("Terms"). If you do not agree, you may not use the Platform.

1. Overview

THOTL is a platform that enables:

  • Content distribution
  • Performance tracking
  • Referral systems
  • Earnings opportunities for users ("Looprs")
  • Campaign tools for creators and businesses ("Creators")

THOTL operates as a technology platform only and does not guarantee outcomes or earnings.

2. Eligibility

You must:

  • Be at least 18 years old
  • Comply with all applicable laws
  • Provide accurate account information

We reserve the right to refuse access to anyone at any time.

3. User Roles

Looprs: Users who distribute content and may earn based on performance.

Creators: Users who upload content, create campaigns, and pay for platform access.

All users act independently.

4. No Employment Relationship

Users of THOTL are NOT employees, agents, or representatives. All users operate independently and are solely responsible for their activities.

5. Earnings Disclaimer

THOTL does NOT guarantee income, results, or performance. Earnings depend on multiple factors including user activity, content performance, and market conditions.

6. Attribution & Commission Rules

THOTL uses internal systems to attribute views, engagement, commissions, and referrals.

All attribution decisions made by THOTL are final and not subject to dispute. We reserve the right to modify attribution models at any time.

7. Payments & Payouts

7.1 Earnings

Users may earn through performance-based metrics, commissions, and referrals.

7.2 Payouts

Payouts are processed on a scheduled basis, subject to minimum thresholds and verification.

7.3 Third-Party Providers

Payments are processed via third-party providers (e.g., Stripe, PayPal). THOTL is NOT responsible for delays, failures, or errors caused by these providers.

8. Platform Fees

Creators may be charged subscription fees, platform fees, or transaction-based fees. THOTL reserves the right to modify pricing at any time.

9. Referral System

THOTL offers referral-based rewards. However, referral structures may change, rewards are not guaranteed, and abuse may result in forfeiture.

THOTL reserves the right to modify or terminate referral programs at any time.

10. Waitlist & Referral Program

No Guarantee of Access: Signup for the waitlist constitutes an expression of interest. It does not create a contract for service or guarantee that you will be granted access to the THOTL platform.

Rank Attribution: Your rank is determined by a combination of signup time and verified referrals. We reserve the right to change the 'Rank Bump' values (for example, 50 positions) without prior notice.

Anti-Fraud Policy: Any attempt to artificially inflate your rank through botting, scripts, temporary email addresses, or self-referrals is a violation of these Terms. We reserve the right to permanently ban your email and IP from the waitlist if fraud is detected.

11. Founding Tier Status

The Founding Tier (defined as users in the Top 100) is a conditional status.

Benefits such as lifetime fee waivers or profile badges are only activated upon the successful public launch of the application and are subject to the user creating a full account.

Founding Status is non-transferable and has no cash value.

12. Fraud & Abuse

Prohibited behavior includes:

  • Fake engagement
  • Bots or automation abuse
  • Multiple account manipulation
  • Misleading or deceptive activity

THOTL may suspend accounts, reverse earnings, and withhold payouts at its sole discretion.

13. Content & Licensing

By using THOTL, you grant us a license to process, modify, distribute, and optimize your content for platform functionality. You confirm you have the rights to any content you upload.

14. AI & Automation

THOTL may use AI systems for content processing, messaging, and analytics. AI outputs may not always be accurate or complete. Users are responsible for how they use the platform.

15. Platform Access & Integrations

Users may connect external accounts (e.g., social platforms). You authorize THOTL to access necessary data and perform actions on your behalf in order to operate the platform.

16. Intellectual Property

The THOTL name, logos, and website content are protected by copyright, trademark, and other laws. You may not reproduce, distribute, or create derivative works of our brand without express written permission.

17. Account Suspension & Termination

THOTL may suspend, restrict, or terminate accounts at any time, with or without notice.

18. Limitation of Liability

To the fullest extent permitted by law, THOTL is NOT liable for loss of income, business losses, indirect or incidental damages, or platform interruptions. Your use of the platform is at your own risk.

19. Indemnification

You agree to indemnify THOTL against any claims arising from your use of the platform, your content, or your violations of these Terms.

20. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE.' THOTL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

21. Modifications

We may update these Terms at any time. Continued use of the platform means you accept the updated Terms.

22. Experimental Platform Notice

THOTL is an evolving platform. Features, systems, and rewards may change, be updated, or be removed without notice.

23. Governing Law

These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.
